2、dbusinessinformationandtechnica1.datafromeachotherareneeded.Basedontheprincip1.eofmutua1.benefitandcommondeve1.opment,bothpartiessha1.1.signthisNDAthroughfriend1.yconsu1.tations.双方正在就跖境支付与电子商务进行合作须要取得对方的相关业务和技术资料.为此.甲乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议.1. 3、.confidentia1.,nonpub1.icorproprietaryinformation,regard1.essofhowtheinformationisstoredorde1.ivered,exchangedbetweenthepartiesbefore,onorafterthedateofthisAgreementre1.atingtothebusiness,techno1.ogyorotheraffairsofthedisdoserofthisinformationoranyofitsaffi1.iates,whichinthecaseofSMARTROmeansitsaffi
4、1.iatesandanysubsidiaryof.SMARTRO,andinthecaseofEBCmeansanyaffi1.iatesandanysubsidiaryofEBCbutdoesnotinc1.udeinformation:在本协议中，保密信息是指双方中任何一方技职给对方的与合作有关或因合作产生的任何商业、营销、技术、运营数据或其他性顽的资料，无论以何种形式或找干何种靓体，无论在披前时是否以口头、图像或以书面方式表明其具有保密性(简称：保密信息),双方及其任何附属公司在维订本协议之的，正在或之后发生的有关业务，技术或其他相关下务所传递的信息均属于保密信息，木协议下SMARTR
5、o指XXXXXXX及其任何用国公司，yyyyy指VYYyy及其任何附属公司，保密信息不包括以卜状况：(i) whichisinorbecomespartofthepub1.icdomainotherthanthroughbreachofthisagreementoranob1.igationofconfidenceowedtothedisc1.oser;双方共同认可可公开的信息，除了被斩者违反本协议与保密员任；(ii) whichtherecipientcanprovebycontemporaneouswrittendocumentationwasa1.readyknowntoitatthet

9、mation;and为保密信息的一部分；C)whoagreetobeboundbythetermsandconditionsofthisundertaking.同意遵守本协议的条款和条件的约束.1.3 wi1.1.,andwi1.1.ensurethatits,anditsaffi1.iates*,officers,emp1.oyees,contractors,agentsand1.ega1.andfinancia1.adviserskeeptheotherparty,sConfidentia1.Informationconfidentia1.andSecretandwi1.1.not:任一方
10、将确保其及其附属公司，员工，承包商，代理商，法律及财务顾问保守对方保密信息的保密性,并保证不全：a) whetherdirect1.yorindirect1.ydisc1.osefdivu1.gefse1.1.,communicateto,useorpub1.ishtheConfidentia1.Informationforthebenefitofanyperson,firm,partnership,rporationztrustorassociationotherthantheotherparty;不论是干脆或间接地透就，泄际，出售，传递，运用或发布保密信息，为了任何个人，企业，合作，公司，
11、信托或协会的利益；b) use,provideordisc1.oseparticu1.arsofanyconversations,discussionsornegotiationswiththeotherparty,oranyofitsaffi1.iates,oranyoftheirofficers,emp1.oyees,agentsoradvisersre1.atingtotheAgreedPurposeforanypurposeotherthantheAgreedPurpose;or运用，供应或披露将“约定用途”相关的与对方及其任何附属公司，员工，代理商,顾问的任何谈话，探讨或谈判,用作“
12、约定用途”以外的任何目的：c) copyorreproduceanyoftheConfidentia1.InformationreducedtowritingoranypartthereofwithoutthepriorwrittenconsentoftheotherpartyforapurposeotherthantheAgreedPurpose.拷贝或笈制任何书面形式的保带信息,或任何未经对方事先书面同意的用作“约定用途”外的任何目的.1.4 wi1.1.ensureandprocurethatanyoftheotherpartysConfidentia1.Informationdisc1
13、.osedtoitbytheotherwi1.1.ata1.1.timesbekeptinitspossession,custodyorcontro1.withat1.eastthesamedegreeofcareasitexercisestoprotectitsownConfidentia1.Information；and任一方将确保并促使另一方透滋给它的任何保密信息，始终在其严密的保管与限制下，保密程度不低于爱护自己的保密信息；1.5 wi1.1.,subsequenttohavingusedtheotherpartsConfidentia1.InformationfortheAgreed
14、Purposeandbeenrequestedbytheotherparty,returnthewho1.eoftheConfidentia1.Informationwhichithasbeenprovidedinitspossession,custodyorcontro1.orifrequested,un1.essthatpartisrequiredb1.awtoretainthatinformationorthatinformationcannototherwiseberemovedfromthatpartyssystems.任一方将依照对方的要求，将曾运用于约定用途的,由对方供应并自己保
15、管与限制的全部保密信息,交还给对方，未经书面认可，任何一方不得处制或留存另一方任何信息。除非该方由法律规定，必需保留该信息，或者该信息无法从该方系统中删除。TheundertakingsreferredtoinC1.ause2donotapp1.ytoanyinformation(whetherpartoftheConfidentia1.Informationornot)that:条款2并不适用于以下的内容(无论该信息是否属于保密的信息)1.6 therecipientisrequiredtodisc1.oseby1.aworastockexchange;接收者应法律和股票交易市场的要求公开信
