PartyAandPartyBhaveenteredintoabusinesstransactionorcontractualrelationship(theUnderlyingTransaction)andhaveagreedthatthepaymentrelatedtotheUnderlyingTransactionwillbemadethroughPartyCzathirdpartypaymentinstitution.2. PartyCisadulylicensedand
4、authorizedpaymentserviceproviderwiththecapabilitiesandresourcestofacilitatethepaymentprocessasdescribedherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforthandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartieshereto
5、agreeasfollows:Article 1: PaymentInstructions1. PartyBherebyauthorizesPartyCtodebittheamountspecifiedinthepaymentinstructions(the,PaymentAmount)fromPartyB,sdesignatedaccountandtransferittoPartyA,saccountasinstructedbyPartyB.ThePaymentAmountshallbeinaccordancewiththetermsandconditionsoftheUnderlyingT
6、ransactionbetweenPartyAandPartyB.2. PartyBshallensurethattherearesufficientfundsinthedesignatedaccounttocoverthePaymentAmountatthetimeofthedebit.Intheeventofinsufficientfunds,PartyCshallhavetherighttorejectthepaymentrequestandnotifybothPartyAandPartyBaccordingly.Article 2: PaymentTermsandTimeline1.
7、ThepaymentshallbemadewithinXbusinessdaysafterPartyBhassubmittedthevalidpaymentinstructionstoPartyCandallnecessaryapprovalsandverificationshavebeencompleted.PartyCshalluseitsreasonableeffortstoexpeditethepaymentprocessandkeepPartyAandPartyBinformedofthepaymentstatus.2. Thepaymentshallbesubjecttotheap
8、plicablefeesandchargesofPartyCasdisclosedinitsfeeschedule.PartyBagreestopaysuchfeesandchargesinaccordancewithPartyC,srequirements.PartyAandPartyBacknowledgethatthefeesandchargesmaybedeductedfromthePaymentAmountbeforeitistransferredtoPartyA,saccount.Article 3: RepresentationsandWarranties1. PartyArep
9、resentsandwarrantsthatithasthelegalrightandauthoritytoreceivethepaymentandthattheinformationprovidedtoPartyBandPartyCregardingthepaymentdetailsanditsaccountisaccurateandcomplete.2. PartyBrepresentsandwarrantsthatithasthelegalrightandobligationtomakethepaymentunderthetermsoftheUnderlyingTransactionan
10、dthatthefundstobeusedforthepaymentareobtainedlegallyandarefreefromanyliens,encumbrances,ordisputes.3. PartyCrepresentsandwarrantsthatitisdulylicensedandregulatedtoprovidethepaymentservicescontemplatedhereinandthatitwillcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofits
11、obligationsunderthisAgreement.Article 4: Confidentiality1. ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedorobtainedinconnectionwiththisAgreementandthepaymentprocess.SuchconfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodofXyears.2. Notwithstandingthea
12、bove,thepartiesmaydisclosesuchinformationasrequiredbylaw,regulatoryauthorities,orinconnectionwithalegalproceeding.However;thedisclosingpartyshallnotifytheotherpartiesinwritingassoonasreasonablypracticablepriortosuchdisclosure.Article 5: Indemnification1. PartyBshallindemnifyandholdharmlessPartyAandP
13、artyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingbutnotlimitedtoattorneys1feesandcourtcosts)arisingoutoforinconnectionwithanybreachofthisAgreementbyPartyBzincludingbutnotlimitedtoanyincorrectorunauthorizedpaymentinstructions,insufficientfunds,oranyotheractorom

PartyAshallindemnifyandholdharmlessPartyBandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyA,includingbutnotlimitedtoanymisrepresentationorwarrantyregardingthepaymentdetailsoritsaccount,or
15、anyotheractoromissionofPartyA.3. PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyC,includingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththi
16、sAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.Article 6: Termination1. ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.2. Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithinXdaysafterreceivingwrittennoticethereof
