2、entismadebetween本协议由如下当事方签订：ChinaInternationalWater&ElectricCorporation(CWE)-BranchOfficeinthePhilippines,abranchandsubsidiaryofCWE(BeijingzChina)authorizedtodobusinessinthePhilippines.中国某水电公司，系该公司授权在菲律宾开展业务。-3d-BBRPhilippinesCorporation,dulyregisteredandexistingunderthelawsoftheRepublicofthePhilipp
3、ineswithofficeaddressatSuite502,7EastCapitolBuildingNo.7EastCapitolDrive,Brgy.KapitolyozPasigCitylrepresentedbyitsManagerMr.ReyC.D.SinghzhereinafterreferredtoasBBR.菲律宾某公司，根据菲律宾共和国法律正式注册和续存,办公地址为，经理为Mr.雷伊CD0辛格（以下简称BBR）。WHEREASCWEhasbeenawardedtheContractfortheRestorationofMancatianBridgeincludingAcce
4、ssRoadalongtheAngeles-PoracRoad,PinatuboHazardUrgentMitigationProject-PhaseIIzContractPackageNo.7bythePhilippinegovernmenthereinafterreferredtoasthe“Project.鉴于中国水电公司已被授予修复曼卡提安桥的合同，包括沿Angeles-Porac公路的通道，Pinatubo灾害紧急缓解项目-第二阶段，菲律宾政府第7号合同包（下称项目）。NOWTHEREFORE,thePartiesheretoagreeasfollows:双方同意如下：1. OBLI
5、GATIONS各方义务TobeprovidedbyBBR:由中国水电公司提供：PreparationofShopDrawingsforApprovalbytheConsultantandtheowner.准备制作车间图纸以供咨询工程师和业主批准。SubmitMethodStatementforFabricationofAASHTOGirderzTendonExtensionCalculation,orotherdocumentsrequiredbyCWEortheConsultant提交制造AASHTO梁，张拉计算或中国国际水电公司或咨询工程师要求的其他文件的方法陈述。Fabricationo
6、f36PiecesofAASHTOPrestressedConcreteGirderszTypeIV-B(L=29.65m.)includingbutnotlimitedtotheprovisionoftheallnecessarySupervision,Labor,MaterialsandEquipmentsfortheFabricationWorks.制造36件AASHTO预应力混凝土梁，型号为IV-B(L=29.65米)，包括但不限于为制造工程提供所有必要的监理、劳务、材料和设备。Deliveryofthe36PiecesofAASHTOPrestressedConcreteGirder
7、s,TypeIV-B(L=29.65m.)throughaAccessRoadtoaTruck-AccessiblelocationontheProjectSite.将36件AASHTO预应力混凝土梁，IV-B型(L=29.65米)通过通道运送到项目现场的卡车可达位置。AllnecessaryPermits,Licenses,Clearances,etc.requiredbyLawtobeprovidedbyCWE:法律规定的所有必要许可证，执照，准许等由中国国际水电公司提供：ProvisionofsuitableAccesstotheUnloadingSiteincludingtheclea
8、ringofanyObstructions.为卸货地点提供合适的通道，包括清除任何障碍物。UnloadingoftheAASHTOPrestressedConcreteGirdersfromtheDeliveryTrailers/Truck.从交付拖车/卡车上卸下AASHTO预应力混凝土梁。InstallationoftheAASHTOPrestressedConcreteGirdersincludingtheprovisionofthenecessaryInstallationAccessories(e.g.BearingPadszBearingSleeveszetc.).安装AASHTO预
9、应力混凝土梁，包括提供必要的安装附件(例如轴承垫，轴承套等)。2. TOTALPRICE总价CWEshallpayBBRtheTotalPricefortheFabricationandDeliveryofthe36PiecesofAASHTOPrestressedConcreteGirders,TypeIV-B(L=29.65m.)TheUnitPriceforeachPrestressedConcreteGirdersis.中国水电公司将向支付合同的总价，用于制造和交付36件AASHTO预应力混凝土梁，型号为IV-B(L=29.65mo)每个预应力混凝土梁的单价为比索。Itisexpres
10、slyunderstoodandagreed,theUnitPricesareinfullsatisfactionofallitscostsincurredbyBBRforsupervision,survey,laboratoryandfieldtest,materials,equipment,laborandanyotherpersonnelitwillemploy,toolsztemporaryfacilitiesandconsumablesnecessary,butnotlimited,forthecompletionofthefabricationofgirders,including
11、contingencies,overtimeofextrashifting,projectinsurance,taxesofeverykindincludingtheVATzwithholdingtaxandnaturethatmaybeassessedagainstBBRunderthiscontract,inclusiveofallfeeszcharges,licenses,itsadministrativeexpensesandoverhead,itsprofitandgenerallyanyandallotherattendantfees.各方同意，单位价格完全满足BBR对监理、勘察、
12、实验室和现场测试、材料，设备、劳务及其将雇用的任何其他人员，工具，临时设施和消耗品所产生的所有费用。但不限于完成大梁的制造,包括意外事故、加班、项目保险、各种税收，包括增值税、预扣税和BBR根据本合同据评估的性质，包括所有费用、收费、许可证、管理费用和间接费用、利润以及一般任何和所有其他附带费用。3. CONDITIONSOFPAYMENT付款条件a. FifteenPercent(15%)DownpaymentpayableuponsigningoftheContractwithacceptableperformancebondprovidedbyBBR.签署合同时，应以BBR提供的可接受履
13、约保证金支付15%的首付款(15%)ob. MonthlyProgressPaymentsubjecttobemadeinaccordancewiththeValuationoftheWorkDonezwithalldulysupportingdocumentscertifiedbytheConsultantEngineerFabricatedGirdershaveacorrespondingSeventyPercent(70%)AccomplishmentValuewhiletheDeliveryoftheGirdershaveacorrespondingThirtyPercent(30%)
14、AccomplishmentVaIueJenpercent(10%)ofamountofmonthlyprogressbillingshallbedeductedasretentionmoneyofthiscontract.每月进度付款根据工作估价进行，所有正式支持文件均由咨询工程师工程师认证。制造的大梁具有相应的百分之七十(70%)的成就值，而大梁的交付具有相应的百分之三十(30%)的成就值。月度进度计费金额的百分之十(10%)应扣除为本合同的保留金。c. TheTenPercent(10%)RetentionMoneywillbereleasedThree(3)Monthsafterthe
15、DeliveryofthelastPrestressedConcreteGirders7PriortothereleaseoftheRetentionMoney,asuitableGuaranteeBondwillbesubmittedbyBBRtoCWE.10%(10%)保留金将在最后一个预应力混凝土梁交付后三(3)个月发布，在保留金发放之前，BBR将向CWE提交合适的担保债券。4. TIMESCHEDULE工期计划FabricatedgirdersshallbetakengoodcareofinBBRsplant(freeofcharge)andbedeliveredtotheprojec
16、tjobsiteforinstallationaccordingtothescheduleofCWEfordelivery.ThedeliveryofthePrestressedConcreteGirdersshouldbecompletedbyFebruary20,2004.Becauseoftheurgencyandimportanceofthisproject,BBRshallstrictlyfollowthescheduleofproductionandberesponsibleforanydelaysduetothefailureofexecutingthiscontractexceptforforcemajeure.装配式梁应在BBR的工厂中得到妥善的保养(免费),并按照CWE的计划
