1、分并提单保函1.etterofIndemnityforBillofLadingSplit/Combination致:地中海航运有限公司及/或利胜地中海航运(上海)有限公司和/或其分支机构及其代理To:MSCMediterraneanShippingCompanyS.A.(Geneva)and/orMediterraneanShippingCompany(Shanghai)Limitedand/oritsbranchesanditsagents船名/航次Vessel/Voyage:发货人Shipper:收货人Consignee:通知人Notify:装货港PortofLoading:卸货港Port
2、ofDischarging:交货地PlaceofDelivery:我司要求将以下提单进行分并：WerequestthefollowingB/Lstobesplit/combined:原始提单内容如下：Nowread:提单号B/Lnumber订舱号Bookingnumber箱号CTNRnumber箱型CTNRtype更改后提单内容如下:Shouldread:提单号B/Lnumber订舱号Bookingnumber箱号CTNRnumber箱型CTNRtype原提单将被返还至InitialB/LsW川besurrenderedto:MSC填写城市名office;分并后的新提单放单地点NewB/Lsa
3、ftersplit/combinationneedtobeissuedat:MSC填写城市名office.我司确认如下：Weherebyconfirm:所有需合并的提单上的记名收货人和通知人一致；ThenamedconsigneeandnotifypartyaresameonallBs/Lunderrequestofcombination;- 同一货柜拆分后，提单项下记名收货人和通知人一致；ThenamedconsigneeandnotifypartyaresameonallBs/Laftereachonecontainerissplit;- 合并后提单的件数、重量、体积和箱数是各个提单之和；
4、反之(拆分)亦然。ThePackageNumber,Grossweight,MeasurementandContainerQuantityshallbepreciselythesumupofallBLzsforcombination,orviceversa(forsplit).我司确认因我司上述要求所产生的所有费用，包括但不限于：Weconfirmacceptallthefeesincurredasaresultofouraboverequest,includingbutnotlimitedto:- 文件费用DocumentationFees:- 改单费用AmendmentFees:- 罚金P
5、enalties:基于贵司接受我司上述请求，我司明确同意并保证如下：Inconsiderationofyourcomplyingwithouraboverequest,weherebyagreeandguaranteeasfollows:1 .我司将无条件承担由于上述请求而引起的所有责任与风险；赔偿并承担贵司以及贵司雇员或代理因按照我司上述要求分并提单而可能遭受的一切损失、海关罚金和承担的一切责任。Wewillunconditionallybearalltheliabilitiesandrisksarisingfromtheaboverequest;compensateandbearallth
6、elosses,customspenaltiesandallliabilitiesthatyourcompanyandyouremployeesoragentsmaysufferasaresultoftheB/Lssplit/combinationperouraboverequest.2 .若贵司或贵司雇员或代理因此被起诉，我司愿无条件承担，支付相应的法律费用。Ifyourcompanyoryouremployeesoragentsaresued,wearewillingtobeartheexpensesandpaythecorrespondinglegalfeesunconditionall
7、y.3 .我司保证分并提单后的品名，件数与报关资料完全一致，并自行负责向船代及海关申请配载舱单之更改并承担所有风险C我司愿意承担由此产生的任何责任及费用。Weherebyguaranteethecommoditynameandnumberofpackageonthesplit/combinedB/LsarecompletelyconsistentwithCustomsdeclaration.WetakefullresponsibilityforcorrectingloadingManifestwithCustoms/stateagencyonourownaccount/risk.Weheret
8、oundertakeallresponsibilities&coststhatmayincur.4 .我司充分意识到由于因分并提单可能会引起的包括但不限于以下的风险和后果，并确认承担因此产生的所有责任及费用：Wefullyrealizeandacknowledgethepotentialrisksandconsequences,includingbutnotlimitedtothefollowings,mayariseduetosplit/combineB/Ls,andconfirmundertakeallresponsibilities&coststhatmayincur:- 分并后，同一票
9、提单号下，部分货柜未被装载；Aftersplitcombinationzpartofcontainersmightbeoff-loadedevensplit/combinedwithothercontainersundersameB/Lnumber;- 分并后，同一票提单号下，部分货柜被随机装载于船上；Aftersplit/combiningB/Lsfpartofcontainersmightbestowedatoptionalvesselpositionevensplit/combinedwithothercontainersundersameB/Lnumber;对于在AMS申报之后要求分并
10、提单的，有可能会导致美国海关征收相应的罚金,且追溯期为五年。ForanyrequestonB/LscombinationraisedupafterAMSFiling,itmaycauseextrapenaltyimposedbyUSAcustoms,witharetroactiveperiodof5years.本保函的效力直至本担保函所涉运输下的所有争议纠纷解决时止。TheLetterofIndemnityremainsvalidtillthedisputeissettledviamutualagreement,wherethecoverageoftheLOIshowsrelatedcarri
