2、erwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedgoodssubjecttotermsandconditionssetforthhereinafterasfollows1.BasePrice&Scopeofsupply基价和供货范围ThefollowingpricesandsuppliesarebasedontheTechnicalspecificationNo.TS-NY-11-0016Rev.lpreparedbyMitsubishiHeavyIndustries,Ltd.如下价格和供货是以厂家准备的
3、No.TS-NY-11-0016Rev.l技术资料为基础。2.quoteprice价格计算i)AlltheequipmentsareprovidedbyMitsubishiHeavyIndustries,Ltd.所有的设备由日本厂家提供。ii)Thepricementionedabovearequotedunderconditionthatalloftheitemsandquantityofferedshallbeorderedinonelotatthesametimewithinthevalidityperiod.Incaseofpartialorder,pricesshallbere-qu
4、oted.以上价格基础为所有项目以及产品数量在合同有效期内一次同时订购。如分批订购，应重新价格。iii)Thispriceissubjecttoexchangeratevariation.Variationintheexchangeratebetweentimeofquotationandthepaymentshallbedealtwithasfollows:本价格受汇率影响。价格与付款时的汇率变化应作如下处理(a)Theexchangerateattimeofsignatureofthiscontractis12.4RMB.Thus,thetotalpriceamountinJPYisJPY
5、.(BasePrice)签约时汇率为12.4RMBo因此，本价格的日元总额为（基本价格）(b)TheactualpaymentinRMBshallbeadjustedbydividingthedueamountofBasePricebytheexchangerateofJVRMBatTTBpublishedbyCentralBankofChinaonedaybeforethepaymentiftheexchangerateislessthan12.4RMB.如果汇率少于12.4/RMB,实际人民币付款应使用基本价格除以付款前一日中国中央银行公布的电汇买入价汇率日元对人民币。(c)Iftheex
6、changerateatthetimeofpaymentismorethan12.4RMB,theSellercanselectthepaymentinRMBasshowninthequotedamount如果付款时汇率高于12.4/RMB,卖方可以选用所价格格用人民币支付。iv)T/AfeeispreliminarycalculatedbasedontheunitrateasperTA,sgeneraltermsandconditionsinAttachment-2andtheestimatedman/daysshowninthetechnicalspecification.Iftheact
7、ualman/dayischangedfromtheassumption,thisT/Afeeshallbeadjusted.Thedetailcalculation,Sisattachedasannex-3.技术指导费以附件2中技术指导费的一般条款套汇率为基础。如果实际天数与设想天数有所改变，则技术指导费需调整。详细的计算如附件3所附。3.TermsofDelivery:交货条件DDPPowerStationinaccordancewiththetermsdefinedinINCOTERMS2000.采用通则2000中的DDP术语。4.DeliveryPeriod:交货期Thedeliver
8、yperiodsfortheeachunitsarethefollowingperiodstobecountedaftercontractsignedbybothpartiessubjecttoavailabilityofcargospaceofvesselorflightandapprovalofJapanesegovernmentforexport,ifnecessary.每套货物的交货期即如下自双方签署合同之日起算，同时考虑船舶或飞机的货物舱位情况以及日本政府出口许可，如有需求。ForitemsofNo.lUnit:OnorBeforedaymonthyearatDDPpowerstat
9、ion.第1套设备项目：卖方于年一月日或之前完税后交货于发电厂。ForitemsofNo.2Unit:OnorBeforedaymonthyearatDDPpowerstationSubjecttoSeller,SreceiptofLetterofIntent第2套设备项目：卖方于年一月一日或之前完税后交货于发电厂。5.Sellersliabilities卖方责任TheSellershallsupply/providethefollowingsunderthisContract:由卖方应根据合同负责供应/提供的包括：5.1.Seller1Sscopeofworkunderthisquotati
10、onisforsupplyofgoodsdescribedinAttachment-I本价格中卖方的供货范围为供应附件-1中所描述的货物。5.2.AnyworksotherthanstipulatedinArticle4.1above,including,withoutlimitation,thosewhicharelistedbelow,areoutofthescopeofSeller.上述条款4.1规定以外的工作，包括但不限于以下列明的项目均不属于卖方范围。（八）Anybankguarantee.任何银行保证(B)InstallationandInspectionatsite.现场安装和检
11、查6.Paymentconditions:付款规定50%ofthecontractualamountshallbepaidbyTTRwithin30daysaftersigningtheContractRemainingamountshallbepaidbyTTRwithin30daysafterarrivalofthegoodsatPowerStation.50%的合同金额需在签订合同后30天内电汇支付，剩余部分需在货物到达电厂后30天内电汇支付。7.WarrantyCOnditionS:保证条款SellerwarrantstoBuyerthatthePartsshallbefreefrom
12、anydefectinmaterialand/orworkmanshipforaperiodoftwelve(12)monthsafterinstallationoreighteen(18)monthsfromthedateofFOBdatewhichevercomesearlier.(WarrantyPerioer)卖方向买方保证所供应的部件完全不会出现任何材料瑕疵和/或做工欠缺，保证期限为安装后十二(12)个月或自日本港口发货之FOB日起算十八(18)个月，以先到者为准(质保期)。IncasethatthedefectmentionedintheaboveisfoundduringtheW
13、arrantyPeriod,Sellershallatitsoption,promptlyrepairatnoextracosttoBuyerordelivertothesiteoftheProjectreplacementParts.Insuchcase,theWarrantyPeriodforsaiditemorpartshallbeextendedforaperiodof12monthsfromthedateofshipmentInnocaseshallSellerhaveanyliabilitiesfordefectswhetherdiscoveredornot,includingla
14、tentdefects,beyondtheexpirationof12monthsfromthedateofdeliveryoftheoriginalParts.如在质保期内出现上述缺陷，卖方应根据需要立即为买方进行修复或向项目现场提供替换部件，并且不另行收费。在这种情况下，该部件的质保期应自发货之日起再延长12个月。无论何种情况下，在原部件交付后超过12个月的，卖方将不对任何未发现或已发现的缺陷，包括隐蔽瑕疵等负责。8.Confidentiality保密条款除法律规定或合同另有约定外，未经发包人同意，承包人不得将发包人提供的图纸、文件以及声明需要保密的资料信息等商业秘密泄露给第三方.除法律规
