PartyAwishestoentrustPartyBtoactastheagentzunderthiscontractfortheinternationaltransportationofcargo,relatedservicesandothermatters.据此，双方按照公平互利的原则，根据中华人民共和国相关法律法规就以下条款达成一致：NOWTHEREFORE,thepartiesagreeonthefollowingtermsinaccordancewiththerelevantlawsandregulationsof
4、thePeoplesRepublicofChina,onthebasisoftheprincipleoffairnessandmutualbenefit第一条服务范围Article1Scopeofservice1.1 乙方根据甲方的委托，作为甲方的代理人代为办理订舱、报关、报验、装箱、转运、代为垫代海运运费等相关运输事宜。具体的服务范围详见授权委托书(附件一)。1.2 PartyBshallactasPartyA,sagenttohandlebooking,customsclearance,inspection,packing,forwarding,advancingseafreightand
5、otherrelatedtransportationmattersonbehalfofPartyAaccordingtoPartyA,sentrustment.Thespecificscopeofservicesisdetailedinthepowerofattorney(AnnexI).第二条双方的权利和义务ARTIC1.E2THERIGHTSANDOB1.IGATIONSOFBOTHPART正S2.1 甲方的权利和义务2.1 PartyAsrightsandobligations2.1.1 甲方委托乙方代为订舱时，甲方应当及时送交或者传真给乙方正确、齐备的托运单据。托运单应明确标明甲方订舱
6、单位名称、电话、传真及联系人并加盖公章，还有应注明货物的件数、重量、体积、目的港、装船日期、货物品名、运费条款及特别要求等。如果甲方提交的托运单内容不准确、不完整或不合法而导致的任何货物的损失或者造成乙方和/或第三人的任何损失或者责任，由甲方承担。如果甲方对货物运输没有特殊要求，乙方按普通货物办理运输。2.1.2 PartyAshallzwhenPartyAentrustsPartyBtomakebookingonitsbehalfzpromptlydeliverorfaxtoPartyBcorrectandcompleteconsignmentdocuments.TheConsignment
7、Noteshallclearlymarkthename,telephonenumber,faxnumberandcontactpersonofPartyA,sbookingunitandstampedwiththeofficialsealzandshallalsostatethenumberofpieces,weight,volume,portofdestination,dateofloading,nameofcargozfreighttermsandspecialrequirementsofthecargo.ProvidedthatthecontentsoftheConsignmentNot
8、esubmittedbyPartyAareinaccurate,incompleteorunlawful,whichresultinginthelossofanycargoorcausinganylossorliabilitytoPartyBand/orthirdparties,PartyAshallbeliabletherefore.ProvidedthatPartyAhavenoparticularrequirementsforthetransportationofcargo,PartyBwillhandlethetransportationpursuanttoordinarycargo.
9、2.1.3 甲方委托乙方代理报关、报验时，应当提供合法、合格、正确、齐全的报关报验单证，根据贸易性质不同可包括：合同、发票、商检证书、许可证、核销文件、报关单、手册、装箱单及有关批文等。如果因甲方提交的报关报验单证内容不准确、不完整或不合法而导致的损失和费用由甲方承担，包括但不限于乙方因此遭受的损失、乙方因此向第三人承担的责任等。2.1.4 ProvidedthatPartyAentrustsPartyBtoactasagentforCustomsclearanceandinspection,itshallprovideIegalzqualified,correctandcompletedoc
10、umentsforCustomsclearanceandinspection,whichmayinclude,dependingonthenatureoftradezcontracts,invoices,certificatesofcommodityinspection,permits,verifying/write-offinstrument,Customsdeclarations,manuals,packinglistsandrelevantapprovals,etc.ProvidedthatthecontentoftheCustomsdeclarationandinspectiondoc
11、umentswhichsubmittedbyPartyAareinaccurate,incompleteorillegal,PartyAshalltaketheresponsibilitiesofthelossesandexpenses,includingbutnotlimitedtothelossessufferedbyPartyBandtheliabilityofPartyBtothirdpartiestherefore.2.1.5 乙方代为甲方办理货物的装箱、中转运输时，应在托运单或者相关函电中明示委托事项，包括代为联系仓储、装卸、转运、短驳、装拆箱等事宜。2.1.6 PartyBsha
12、ll,whenithandlesthepackingandtrafficintransitofthecargoforPartyAzexpresstheentrustedmattersintheConsignmentSliporrelevantcorrespondence,includingcontactingstorage,loading/unloading,transfer,shortbargezunpackingandothermatters.2.1.7 如果甲方要求货物紧急出运，应事先在托运单特别要求声明中注明或者以其他书面形式通知乙方，并由乙方最后书面确认航期。如果未经乙方书面确认航期
13、，乙方不承担延误运输责任。2.1.8 ProvidedthatPartyArequirestheemergencydeliveryofthecargo,itshallindicateornotifyPartyBintheSpecialRequirementsStatementinadvance,whichPartyBshallfinallyconfirminwriting.PartyBshall,wherewithoutitsconfirmationoftheshippingperiod,notbeliablefortransportationdelay.2.2.3如果乙方必要时为甲方垫付海运
14、运费、港口费用及其他代理代办费用，甲方应当按照本合同的约定偿还乙方垫付的款项。2.2.3WherePartyB,asnecessary,advancesseafreight,portchargesandotheragencyfeesonbehalfofPartyAzPartyAshallreimbursePartyBforsuchadvancesinaccordancewiththeprovisionshereof.2.2.4乙方在接到甲方的订舱单后，应在合理时间向船运公司办理货物装运等手续。如因船运公司原因未能及时装运，乙方不承担责任但应当及时将有关情况通知甲方。2.2.4PartyBsha
15、llztotheshippingcompanywithinareasonabletimeuponreceiptofthebookingorderfromPartyA,handletheshipmentofthecargoandotherprocedures.Wheretheshipmentisfailtoeffectshipmentintimeduetotheshippingcompany,PartyBshallnotberesponsiblethereforehowevershallinformPartyAoftherelevantsituationintime.第三条合同价款及支付方式AR
16、TICLE 3 CONTRACTPRICEANDPAYMENTMETHOD3.1 合同价款包括：乙方的运输代理费以及乙方垫付的海运运费、港口费用、其他代理代办费用。本合同价款的具体构成详见附件二。3.2 Thecontractpriceincludes:PartyB,sfeeoftransportationagencyandPartyB,sadvanceofseafreight,portchargesandotheragencyfeesonbehalfofPartyA.ThespecificcompositionofthecontractpriceisdetailedinAnnexI1.3.3 甲方同意在本合同签定后个工作日内将上述合同价款支付给乙方。3.4 PartyAagreestoeffectpaymentoftheabovecontractpricetoPart
